1. Introduction

These Terms and Conditions ("Terms", "Agreement") govern your use of the Shronix eSign platform (hereinafter referred to as the "Service" or "Platform") operated by SHRONIX TECHNOLOGY PRIVATE LIMITED (hereinafter referred to as "Company", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, having its registered office at P. No. 1A, Opposite Kardhani Petrol Pump, Gokul Nagar, Kalwad Road, Jaipur - 302012, Rajasthan, India.

By accessing or using our Platform, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree with any part of the Terms, you must not use our Service.

2. Definitions

• "Platform" refers to the Shronix eSign website (esign.shronix.in) and all related services.
• "User" refers to any individual or entity that accesses or uses the Platform.
• "Account Owner" refers to the registered user who creates and uploads agreements.
• "Signatory" refers to the person who signs the agreement using the Platform.
• "Agreement" refers to the digital document uploaded for signing through the Platform.
• "eSign" refers to the electronic signature applied through the Platform.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age and competent to enter into a legally binding contract under the Indian Contract Act, 1872.
• Provide accurate, current, and complete information during registration.
• Possess a valid Aadhaar (for Aadhaar OTP signing) or a working mobile number (for WhatsApp OTP signing).
• Not be a person barred from receiving services under the laws of India or any applicable jurisdiction.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

5. Service Description

Shronix eSign is an electronic signature platform that allows users to:

• Upload PDF documents for digital signing.
• Send signing requests via email and WhatsApp to designated signatories.
• Verify signatory identity through Aadhaar OTP or mobile OTP.
• Record video consent (where applicable).
• Generate signed PDF documents with audit trails.
• Download signed documents and signature reports.

6. Legal Validity of eSignatures

Electronic signatures applied through our Platform are legally valid in India under:

• The Information Technology Act, 2000 (specifically Section 5 read with Section 3A).
• The Information Technology (Amendment) Act, 2008.
• Aadhaar Act, 2016 (for Aadhaar-based eSign).
• The Bharatiya Sakshya Adhiniyam, 2023 (Section 63 for admissibility).

However, certain documents are excluded from electronic signing under Schedule I of the IT Act, 2000, including:

• Negotiable instruments (other than cheques).
• Power of Attorney as defined in Section 1A of the Powers-of-Attorney Act, 1882.
• Trusts as defined in Section 3 of the Indian Trusts Act, 1882.
• Wills and any other testamentary disposition.
• Contracts for the sale or conveyance of immovable property.

Users are responsible for ensuring that the documents they sign through our Platform are eligible for electronic execution. We are not liable for misuse of the Platform for documents that require physical signatures by law.

7. User Responsibilities

You agree that:

• You will only upload documents that you have the legal right to share and sign.
• You will not use the Platform for any illegal, fraudulent, or unauthorized purpose.
• You will not impersonate any person or entity, including providing false identity information.
• You will not upload documents containing malicious code, viruses, or harmful content.
• You will obtain proper consent from all signatories before initiating the signing process.
• You will comply with all applicable laws, including data protection and privacy laws.

8. Prohibited Uses

You may not use the Platform to:

• Create or sign documents related to illegal activities, fraud, or money laundering.
• Forge signatures or misrepresent the identity of signatories.
• Distribute spam, phishing content, or unsolicited communications.
• Reverse-engineer, decompile, or attempt to extract source code from the Platform.
• Use automated systems (bots, scrapers) to access the Platform without our written permission.
• Resell or redistribute our services without an authorized partnership agreement.

9. Pricing and Payment

We offer multiple subscription plans as listed on our Pricing page. All plans are billed annually unless otherwise specified. Prices are exclusive of applicable taxes, including but not limited to Goods and Services Tax (GST), which will be added at the time of billing where applicable.

Payment may be made through approved gateways (Razorpay, UPI, NEFT, etc.). We do not store your card or banking information.

10. Free Trial

New users receive 10 (ten) free agreements upon registration to evaluate the Platform. The free agreement count is one-time and non-transferable. Free agreements have the same features as paid plans but may carry a "Powered by Shronix eSign" footer on signed PDFs.

11. Refunds and Cancellation

Refund and cancellation policies are governed by our separate Refund Policy and Cancellation Policy.

12. Intellectual Property

All content, design, code, logos, trademarks, and intellectual property of the Platform are owned by SHRONIX TECHNOLOGY PRIVATE LIMITED and are protected under the Indian Copyright Act, 1957 and Trademarks Act, 1999. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Documents uploaded by you remain your property. By uploading, you grant us a limited, non-exclusive license to process, store, and transmit the documents solely for the purpose of providing the service.

13. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

14. Service Availability and Modifications

We strive to maintain 99.5% uptime but do not guarantee uninterrupted service. The Platform may be temporarily unavailable due to scheduled maintenance, system upgrades, or unforeseen technical issues.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

15. Limitation of Liability

To the maximum extent permitted by law, SHRONIX TECHNOLOGY PRIVATE LIMITED, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses arising out of or relating to your use of the Service.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

16. Disclaimer

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that defects will be corrected.

We are not a law firm and do not provide legal advice. Users are advised to consult their own legal counsel regarding the legal validity of specific documents and signatures in their jurisdiction.

17. Indemnification

You agree to indemnify, defend, and hold harmless SHRONIX TECHNOLOGY PRIVATE LIMITED, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

18. Termination

We may suspend or terminate your account at any time, with or without notice, for violation of these Terms, illegal activity, non-payment, or any other reason at our sole discretion. Upon termination:

• Your right to use the Service immediately ceases.
• You may request export of your data within 30 days of termination.
• Already-signed agreements will remain accessible to signatories for a reasonable period.
• Outstanding fees become immediately due and payable.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.

20. Dispute Resolution

In the event of any dispute, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Jaipur, Rajasthan, India.

21. Force Majeure

We shall not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, pandemics, internet outages, government actions, or failures of third-party service providers (including UIDAI, payment gateways, and SMS/email providers).

22. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be effective when posted on this page, with the "Last Updated" date revised accordingly. Continued use of the Service after changes constitutes your acceptance. We will make reasonable efforts to notify users of material changes via email.
